About the Role

THE ROLE PURPOSE

Manager, Governance & Regulatory, is responsible for overseeing governance, regulatory compliance, and supporting company secretarial functions to ensure the organization adheres to all statutory and regulatory requirements.

THE KEY RESPONSIBILITIES

a) Monitor changes in relevant legislation and regulatory environment, keeping Management updated.

b) Ensure records of Minutes are well kept.

c) Support in arranging board meetings and annual general meetings.

d) Draft agenda and timetable for board and annual general meetings.

e) Ensure all statutory declarations are duly filed.

f) Maintain up-to-date register of directors and secretary.

g) Support Company Secretary in timely dissemination of Board papers.

h) Ensure timely submission of regulatory reports/letters.

i) Ensure timely statutory filings.

j) Regularly review governance documents.

k) Support Company Secretary in preparation of board papers.

l) Plan training for new and existing directors on corporate governance, duties, and responsibilities.

m) Advise on, governance matters through the Company Secretary.

KEY TECHNICAL SKILLS & LEADERSHIP COMPETENCIES

1. High level of analytical skills with attention to detail.

2. Problem-solving skills with the ability to analyse complex information to identify the key issue/action and drive resolution.

3. Excellent organizational skills, ability to use initiative and work with minimum supervision while ensuring that Management are fully always informed.

4. Ability to communicate effectively and confidently, orally and in writing, with stakeholders at all levels of seniority including external stakeholders.

5. Ethical Leadership skills, including the ability to maintain confidentiality.

6. Flexibility to balance governance and compliance requirements with commercial objectives without compromising achievement of the highest standards of governance and compliance.

7. Strength of character and personal presence to be able to influence senior management and operate effectively at senior levels both internally and externally.

8. Proven ability to analyse complex business issues and identify, design and implement effective practical recommendations.

EXPERIENCE REQUIREMENTS

1. Minimum of 7 years’ relevant experience in legal work and company secretarial practice

2. In-depth knowledge of regulatory environment and key regulatory guidelines

3. Broad range of experience in the financial services industry with a focus on corporate governance, company secretarial and regulatory reporting & compliance.

ACADEMIC QUALIFICATIONS AND CERTIFICATIONS

1. A Bachelor’s degree in Law

2. Advocate of the High Court

3. A professional certification in company secretarial
